Terms & Conditions

These Terms & Conditions (“Terms”) govern your use of Facilitix, an ERP software offered by Ticktix Solutions Private Limited (“Ticktix”, “we”, “us”). By subscribing to or using Facilitix, you agree to be bound by these Terms.

Effective Date: November 19, 2025

1. Definitions

“Service” refers to the Facilitix ERP platform, modules, features, mobile app, APIs, documentation, updates, and related cloud services.
“Subscriber” or “User” refers to the individual or entity using the Service.
“Data” refers to all information, business data, and personal data uploaded or processed through the Service.
“Subscription” refers to a prepaid plan purchased in monthly, quarterly, semi-annual, or annual billing cycles.

2. License & Access

Ticktix grants you a limited, non-exclusive, non-transferable license to access and use Facilitix for your internal business operations, subject to timely payment of subscription fees.

3. Subscription, Billing & Payment

The Service operates on a prepaid subscription model. All fees must be paid in advance for the selected billing cycle.
Taxes applicable under Indian laws (GST or others) will be charged additionally unless the user provides valid exemption proof.
Subscriptions automatically renew unless cancelled before the renewal date.
Ticktix may revise pricing for future billing cycles with prior notice.
Payments once made are non-refundable except as required by applicable Indian laws.

4. Refunds & Cancellation

Cancellations take effect at the end of the active paid subscription term.
No partial or prorated refunds are issued for unused subscription periods unless mandated by applicable law.
Trial periods (if any) are governed by terms displayed at signup.

5. Compliance With Indian Data Protection & Governance Laws

Ticktix is committed to complying with all applicable Indian data protection laws including:

Indian Digital Personal Data Protection Act (DPDPA), 2023
Information Technology Act, 2000
Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011

By using the Service, you agree that:

You are the Data Fiduciary (as defined under DPDPA) for all personal data uploaded.
Ticktix acts as a Data Processor and processes data solely for providing the Service.
You will obtain all legally required consents from individuals whose data you upload or process.
You will not upload personal data that violates Indian law or data localization requirements, if any.

6. Data Storage, Security & Backups

All data is stored in secure cloud infrastructure managed by Ticktix or its cloud hosting partners.
Commercially reasonable administrative, physical, and technical safeguards are maintained to protect user data.
While we use best practices, no system is completely immune to breaches, and absolute security cannot be guaranteed.
Periodic backups are performed to minimize data loss risk.

7. Your Responsibilities

Maintaining confidentiality of login credentials.
Ensuring user accounts are assigned correctly with proper role permissions.
Ensuring your use complies with all applicable Indian laws.
Backing up or exporting your data prior to subscription termination.

8. Suspension & Termination

Ticktix may suspend or terminate access if you breach these Terms or fail to pay fees.
We may also suspend Services to comply with legal obligations or court orders.

9. Acceptable Use

Users agree not to:

Use Facilitix for unlawful activities under Indian law.
Reverse engineer, decompile, or attempt to exploit system vulnerabilities.
Upload malicious code, viruses, or perform actions that disrupt the Service.

10. Intellectual Property

All components of Facilitix, including source code, design, user interface, and documentation, remain the sole property of Ticktix. These Terms do not grant any IP ownership rights to users.

11. Warranty Disclaimer

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted under Indian law, Ticktix disclaims all warranties, including fitness for a particular purpose, uninterrupted service, or error-free operation.

12. Limitation of Liability

To the fullest extent permitted by Indian law:

Ticktix is not liable for indirect, special, incidental, or consequential damages including loss of revenue or data.
Ticktix’s total liability shall not exceed the subscription fees paid by you in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless Ticktix, its employees, directors, and affiliates from claims arising from:

Your misuse of the Service
Violation of Indian laws or third-party rights
Upload or processing of unlawful data
Breach of these Terms

14. Third-Party Integrations

Facilitix may integrate with third-party APIs and services. Use of such integrations is subject to third-party terms, and Ticktix is not responsible for external service failures or data handling by third parties.

15. Modifications to Terms

Ticktix may update these Terms from time to time. Material changes will be communicated via email or in-app notifications. Continued use constitutes acceptance of the updated Terms.

16. Governing Law & Jurisdiction (India)

These Terms shall be governed by and interpreted under the laws of India.

All disputes are subject to the exclusive jurisdiction of the courts of Chennai, Tamil Nadu, India.
